The terms that govern your use of Orbit
By accessing or using the Orbit Scheduling platform (the “Service”), operated by DCR LLC, an Illinois limited liability company, you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.
Orbit reserves the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the “Effective Date” above. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.
Orbit is a real-time collaborative scheduling platform designed for multiple industry verticals. The primary vertical is healthcare (clinic and residency program scheduling), with additional support for restaurant, fitness, education, and dental scheduling. The Service provides:
The Service is provided as a cloud-based Software-as-a-Service (SaaS) application hosted on Google Cloud Platform.
You may create an account using Google OAuth or email/password authentication. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
Orbit uses a role-based access model. Schedule owners control who can view or edit their schedules. Available roles include:
Organization-level roles (org-admin, org-editor, org-viewer) cascade to schedule-level permissions. The higher role wins when a user has both org and schedule roles.
You agree not to:
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the data practices described in the Privacy Policy.
You retain ownership of all schedule data, staffing information, and other content you create or upload to the Service (“Your Data”). Orbit does not claim ownership of Your Data.
You grant Orbit a limited license to process Your Data solely to provide and improve the Service. This includes transmitting relevant schedule context to our AI provider (Anthropic) for schedule generation, compliance validation, and optimization features. Orbit does not use Customer Content or Usage Data to train, retrain, fine-tune, or develop any artificial-intelligence or machine-learning model, and Orbit’s AI subprocessors are contractually prohibited from using data submitted through the Service to train any model.
Important: Orbit is a scheduling and workforce management tool. It is designed to handle staffing and operational data (staff names, shift assignments, availability, credentials, contact information) — not clinical or patient health information. Users should not input Protected Health Information (PHI) as defined by HIPAA into the Service unless a separate Business Associate Agreement (BAA) has been executed between Orbit and the covered entity.
The Service provides operational scheduling and team-coordination functions only. It is not a clinical tool, does not provide medical advice, and is not a substitute for licensed human judgment. The customer and its personnel are solely responsible for all clinical decision-making and patient care. AI-generated compliance reports (including ACGME duty-hour outputs) are informational tools only and do not constitute legal, regulatory, or accreditation certifications.
Orbit uses artificial intelligence (powered by Anthropic Claude) to assist with schedule generation, conflict detection, gap-filling, compliance validation, natural-language queries, skill inference, and coverage recommendations. The AI assistant is branded as “HAL” within the Service. You acknowledge that:
The Service may send notifications via SMS (Twilio), email (SendGrid), and push notifications (Firebase Cloud Messaging) for schedule updates, coverage requests, weekly briefings, onboarding sequences, and account-related communications.
Orbit text messages (SMS program). By opting in to SMS notifications — at the time you join a schedule, from your profile, or in account settings — you consent to receive text messages from Orbit at the phone number you provide. Messages are account notifications: shift coverage requests, pickup offers, call-trade requests, confirmations of your replies, and one-time codes to link your phone. Message frequency varies with your schedule's activity. Message and data rates may apply.
Reply STOP to any message to cancel and stop receiving texts; reply HELP for help. You may also opt out at any time through your account settings. For support, email support@orbitscheduling.com. Mobile information is not shared with third parties or affiliates for marketing or promotional purposes. Full program details and the opt-in screens: app.orbitscheduling.com/sms.
All marketing and transactional emails include one-click unsubscribe links in compliance with CAN-SPAM. You may also configure quiet hours (Do Not Disturb) to defer push notifications during specified time windows.
Orbit provides ICS calendar feeds that allow you to subscribe to your schedule from Google Calendar, Apple Calendar, Outlook, or other compatible calendar applications. These feeds are accessible via unique URLs. You are responsible for keeping your calendar feed URL confidential. Anyone with access to the URL can view the associated schedule data.
Orbit is offered through paid plans, starting with a pilot arranged directly with Orbit. Paid plans are billed through Stripe at the organization level. By subscribing to a paid plan, you agree to pay the applicable fees.
You may manage your subscription, view invoices, and cancel through the billing section of the organization dashboard. Cancellation takes effect at the end of the current billing period. Orbit does not provide refunds for partial billing periods unless required by applicable law. Before you are charged, Orbit will disclose the subscription price, billing frequency, and renewal terms, and will obtain your affirmative consent to those terms. For paid subscriptions that renew automatically, you may cancel at any time through the same online mechanism used to subscribe, without being required to call or chat with a representative, and Orbit will send any renewal or cancellation reminders required by applicable law.
The Service, including its design, software, algorithms, documentation, and branding, is the intellectual property of Orbit Scheduling and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to Orbit’s intellectual property except the limited right to use the Service as described herein.
The Service integrates with third-party providers to deliver its features. These include:
Your use of the Service is also subject to the terms and privacy policies of these third-party providers. Orbit is not responsible for the practices of third-party services.
Orbit aims to provide reliable, continuous access to the Service but does not guarantee uninterrupted availability. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. Orbit will make reasonable efforts to provide advance notice of planned downtime.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORBIT SCHEDULING AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
ORBIT’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO ORBIT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
ORBIT IS NOT LIABLE FOR ANY STAFFING, CLINICAL, OR COMPLIANCE DECISION MADE IN RELIANCE ON THE SERVICE.
You agree to indemnify, defend, and hold harmless Orbit Scheduling and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
Either party may terminate this agreement at any time. You may stop using the Service and request deletion of your account and associated data. Orbit may suspend or terminate your access if you violate these Terms or if we discontinue the Service.
Upon termination, you may request an export of Your Data. Orbit will make Your Data available for export for a period of at least thirty (30) days following termination. Following that export period, and in any event within sixty (60) days of a deletion request, Orbit will delete Your Data, consistent with the Cloud Service Agreement and the Privacy Policy.
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Cook County, Illinois.
